Platform Terms of Use
Acceptance of the Terms of Use
These terms of use are entered into by and between you and Jina AI ("Company", “Jina”, "we", or "us"). The following terms and conditions (these "Terms of Use"), govern your access to and use of the Jina services, including any content, functionality and services offered on or through cloud.jina.ai (the "Website"); as well as any mobile applications you may use to access the Jina services (the “Platform”).
Please read the Terms of Use carefully before you start to use the Platform. By using the Platform or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use. If you do not want to agree to these Terms of Use, you must not access or use the Platform.
This Platform is only available to users who are 18 years of age or older and have agreed to the Terms of Use by registering with Jina, or are an employee, officer, director, representative of, or otherwise authorized individual of an entity who has executed an Order Form for the provision of services by us. By using the Platform, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Platform.
Changes to the Terms of Use
We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Platform thereafter. However, any changes to the dispute resolution provisions set forth in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice prior to the date the change is posted on the Platform.
Communications
By using the services provided by the Platform, you agree to transact electronically through the Platform. you agree that your electronic signature is the legal equivalent of your manual signature. you further agree that your use of a key pad, mouse or other device to select an item, button, icon or similar act/action, constitutes your signature as if actually signed by you in writing. you also agree that no certification authority or other third party verification is necessary to validate your electronic signature, and the lack of such certification or third party verification will not in any way affect the enforceability of your electronic signature.
By providing your telephone number, you are providing express written consent to receive communications from Company, (including its affiliates, agents, service providers, and affiliates for the purposes of defined above) for any purpose, including but not limited to marketing various services from both Company and partners that they Company has joint marketing agreements with. Additionally, you agree to receive communications from Company regarding any service, and any information you may have obtained via your use of a website. you agree that these communications include, but are not limited to, the use of an Automated Telephone Dialing System, prerecorded and/or artificial voice, SMS, MMS, text, fax, email or other similar means, regardless of whether your phone number is registered on a state or federal Do Not Call list. you agree that Company is not responsible for any charges to you regarding these communications. Standard voice and data rates may apply. Further, you understand that you do not need to provide this consent to call as a condition to receive any good or service, in which case you will not provide your phone number.
Accessing the Platform and Account Security
We reserve the right to withdraw or amend access to the Platform, and any service or material we provide on the Platform, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Platform is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Platform, or the entire Platform, to users, including registered users.

You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.
We have the right to disable any user name, password or other identifier, whether chosen by you or provided by us, at any time if, in our opinion, you have violated any provision of these Terms of Use.
Intellectual Property Rights
The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by the Company, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.
These Terms of Use permit you to use the Platform for your or your employer’s direct commercial use only. you must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Platform, except as follows:

Jina AI, the Company name; Company logo; and all related names, logos, product and service names, designs and slogans are trademarks of the Company or its affiliates or licensors. you must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs and slogans on the Platform are the trademarks of their respective owners.

User Contributions
The Platform is designed to enable unified access to the Jina ecosystem and its accompanying services for users. As a result, the Platform contains various interactive features (collectively, "Interactive Services") that allow users to upload, submit, publish, display, or evaluate (hereinafter, "post") content, algorithms, structured data, or other materials (collectively, "User Contributions") on or through the Platform.
All User Contributions must comply with the Content Standards set out in these Terms of Use.
By providing any User Contribution on the Platform, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors and assigns the right to use, reproduce, modify, perform, display, distribute and otherwise disclose to third parties any such material as per your instruction.
By providing any User Contribution on the Platform, you grant us and our affiliates a perpetual, worldwide, royalty free, fully paid up, license to use, reproduce, modify, create derivative works, perform, display, distribute and process any such User Contributions in order to maintain, improve, enhance, or secure the Platform and any Services provided via the Platform.

Monitoring and Enforcement; Termination

YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY THE COMPANY/ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.
However, we cannot review all material before it is posted on the Platform, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local and international laws and regulations. Without limiting the foregoing, User Contributions must not:

If you believe that any User Contributions violate your copyright, please contact us for instructions on sending us a notice of copyright infringement. It is the policy of the Company to terminate the user accounts of repeat infringers.

We do not warrant the accuracy, completeness or usefulness of information (either structured or unstructured) provided on or through the Platform. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Platform, or by anyone who may be informed of any of its contents.
This Platform includes content provided by third parties, including materials provided by other users; and third-party licensors, developers, and open source community participants. All User Contributions, other than the content provided by the Company, are solely the responsibility of the person or entity providing those materials. We are not responsible, or liable to you or any third party, for the content or accuracy of any User Contributions provided by any third parties.
Changes to the Platform
We may update the content on the Platform from time to time, but its content is not necessarily complete or up-to-date. Any of the material on the Platform may be out of date at any given time, and we are under no obligation to update such material.
Linking to the Platform and Third Party Data Sources
Depending on the Services you have requested in an Order Form, you may link other data sources to our Platform, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to cause use of the Platform to violate the security features, terms of use, or any related contractual obligations which are applicable to the data sourced linked to.

you understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the Platform will be free of viruses or other destructive code. you are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data. Limitation on Liability

Indemnification
you agree to defend, indemnify and hold harmless the Company, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Platform, including, but not limited to, your User Contributions, any use of the Platform's content, services and products other than as expressly authorized in these Terms of Use or your use of any information obtained from the Platform.
Governing Law and Jurisdiction
All matters relating to the Platform and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule (whether of the State of Delaware or any other jurisdiction).
Any legal suit, action or proceeding arising out of, or related to, these Terms of Use or the Platform shall be instituted exclusively in the federal courts of the United States or the courts of the State of California in each case located in the City of Los Angeles. you waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
Arbitration
At Company's sole discretion, it may require you to submit any disputes arising from the use of these Terms of Use or the Platform, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Delaware law.
Limitation on Time to File Claims
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN TWO (2) YEARS AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
Waiver and Severability
No waiver of by the Company of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.
If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
Entire Agreement
The Terms of Use, any Order Forms executed, and any incorporated terms under which you are licensed to access Our services constitute the sole and entire agreement between you and Jina AI. with respect to the Platform and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Platform.
Privacy Policy
This Privacy Policy (this “Policy”) covers the information practices of websites and applications that link to this Policy (each referred to as a “Site”). Jina AI (“Jina”) believes strongly in protecting your privacy and the confidentiality of your Personal Information (as defined below). We acknowledge that you may have privacy and security concerns with respect to the information we collect, use, and disclose to third parties. As a result, we have developed this Policy.
As used in this Policy, the term: (a) “Affiliate” means, as to any person or entity, any other person or entity that, directly or indirectly, is in Control of, is Controlled by or is under common Control with such person or entity; (b) “Control” means the possession, directly or indirectly, of the power to direct or cause the direction of the management, policies or activities of the person or entity in question, whether through ownership of voting securities, by contract or otherwise; (c) “Jina Parties” means Jina and all of its Affiliates; and (d) “Personal Information” means any combination of information, in the possession of or likely to come into the possession of a Jina Party that can be used to identify, contact or locate a discrete individual. For purposes of clarification, any information which cannot be used to identify a discrete individual (such as aggregated statistical information) is not Personal Information.
PURPOSE FOR COLLECTION, USE AND DISCLOSURE OF PERSONAL INFORMATION

Information voluntarily provided by you
When using the Sites or working with a Jina Party, you may choose to provide a Jina Party with information to help one or more Jina Parties serve your needs. The Personal Information that we collect will depend on how you choose to use the Sites; and what Personal Information you share with a Jina Party outside of the Sites.
If you request information from a Jina Party, we require you to submit your name, e-mail address, the name of your organization, and any other necessary contact information so we may authenticate you later, as well as enable us to identify if you are an existing customer of a Jina Party.
We may also request other Personal Information as is reasonably necessary so that we can provide you with the requested information or service. The major browsers have attempted to implement the draft “Do Not Track” (“DNT”) standard of the World Wide Web Consortium (“W3C”) in their latest releases. As this standard has not been finalized, the Sites are not compatible with DNT.

Affiliate Sharing
In the normal course of performing services for our clients, Personal Information may be shared among Jina Parties for research and statistical purposes, system administration, joint marketing, providing you services or information, and crime prevention or detection.
Service Providers
Because a number of the service providers we use are located in the United States, your Personal Information may be processed and stored inside the United States, and the U.S. government, courts, or law enforcement or regulatory agencies may be able to obtain disclosure of your Personal Information under US laws.
In addition, generally, we will only provide your Personal Information to our lawyers, accountants, tax consultants and employees for the purpose of conducting our business and providing you with information. Our service suppliers adhere to the same protections regarding the collection, use, and retention of data as we do.
Business Transactions
As we continue to develop our business, we might sell or buy assets. In such transactions, user information, including Personal Information, generally is one of the transferred business assets. Also, if a Jina Party itself or substantially all of a Jina Party’s assets were acquired, your Personal Information may be one of the transferred assets. Therefore, we may disclose and/or transfer your Personal Information to a third party purchaser in these circumstances.
Other Legally Required Disclosures
The Jina Parties reserve the right to disclose, without your prior permission, any Personal Information about you or your use of a Site if the Jina Party has a good faith belief that such action is necessary to: (a) protect and defend the rights, property or safety of a Jina Party, a Jina Party’s employees, other users of a Site, or the public; (b) enforce the terms and conditions that apply to use of a Site; (c) as required by a legally valid request from a competent governmental authority; or (d) respond to claims that any content violates the rights of third-parties. We may also disclose Personal Information as we deem necessary to satisfy any applicable law, regulation, legal process, or governmental request.

CHANGES TO THIS PRIVACY POLICY
If there is any material change to your rights under this Policy, Jina will provide you with notice of such change 30 calendar days prior to the changes going into effect. As part of this notice, Jina may post a notice of the change on a Site in a clear and conspicuous manner for the 30 calendar day notice period. Jina may also communicate the change via email or postal mail if this is the way that Jina normally corresponds with you.
